Terms of service

OVERVIEW

Welcome to Alpha Merch. Alpha Merch LLC, doing business as Alpha Merch, operates this website and online store. The terms “we,” “us,” and “our” refer to Alpha Merch LLC. Our website, products, content, features, and related services are referred to collectively as the “Services.”

Alpha Merch is powered by Shopify, which enables us to provide the Services.

These Terms of Service, together with the policies referenced below, govern your use of the Services and purchases from our store. By using the Services or placing an order, you agree to these Terms. If you do not agree, please do not use the Services.

Our Privacy Policy explains how personal information is collected and used: https://alphamerchco.com/policies/privacy-policy

SECTION 1 – ACCESS AND ACCOUNT

You must be at least the age of majority in your place of residence to place an order, or have permission and supervision from a parent or legal guardian who accepts responsibility for the purchase.

If you purchase on behalf of a business, organization, or other person, you represent that you have authority to do so.

You agree to provide accurate, current, and complete contact, billing, shipping, and account information. You are responsible for keeping your account credentials secure and notifying us promptly of suspected unauthorized access.

SECTION 2 – OUR PRODUCTS

We sell printed merchandise, including posters, mugs, and custom or personalized products. Product details, sizes, materials, quantities, and available options are described in the applicable listing or written quote.

We make reasonable efforts to display products accurately. Screen settings, lighting, and printing processes can cause minor differences between images and finished products. This does not excuse products that are defective or materially different from their descriptions or approved specifications.

Descriptions and availability may change. Changes made after an order is accepted will not alter that order without your agreement or another lawful basis.

For custom orders, review names, spelling, artwork, quantities, and other specifications carefully. When we provide a proof requiring approval, production proceeds after the required approval is received. Proof approval does not waive your rights if the product is defective or does not match the approved specifications.

SECTION 3 – ORDERS, CANCELLATIONS, AND REFUNDS

Placing an order is an offer to purchase. We may decline or cancel an order for legitimate reasons, including suspected fraud, unavailable products, material pricing errors, or inability to fulfill the order. If we cancel an order after collecting payment, we will refund the payment for the canceled items.

Contact jake@alphamerchco.com promptly if you need to request a cancellation or correction. We cannot guarantee changes or cancellation once processing or production has begun. This does not limit cancellation or refund rights required by law.

All sales are final for change-of-mind purposes. We do not accept change-of-mind returns or exchanges for standard, custom, or personalized products.

If an item arrives damaged, defective, or incorrect, contact us as described in our Refund Policy: https://alphamerchco.com/policies/refund-policy

Our Refund Policy does not limit rights or remedies required by applicable law.

Products may be purchased for personal use, business use, gifts, organizational use, and fundraising. Purchasing a physical product does not grant permission to reproduce its artwork or create additional copies.

Any separately agreed wholesale, resale, or custom-order terms apply to the specific transaction they cover.

SECTION 4 – PRICES AND BILLING

Prices are displayed in U.S. dollars unless otherwise stated. Applicable taxes and shipping charges are shown before checkout is completed.

Prices and promotions may change, but changes do not apply retroactively to accepted orders. Pricing on other marketplaces may differ from pricing on this website.

You agree to provide accurate payment information and confirm that you are authorized to use the selected payment method.

A written custom quote may include a validity period, quantity requirements, artwork conditions, shipping charges, and payment requirements. Those terms apply to the quoted order. A material change to an accepted quote requires your agreement.

SECTION 5 – SHIPPING AND DELIVERY

We currently ship to eligible addresses in the United States. We do not currently offer shipping to the European Union.

Production and handling time are separate from carrier transit time. Review the applicable product listing, shipping information, or written quote for estimates relevant to your order.

Delivery estimates are not guarantees unless we expressly agree otherwise in writing. Carrier delays, weather, and other events can affect delivery.

If we cannot ship within the promised timeframe, we will provide any notices, cancellation options, and refunds required by applicable law.

You are responsible for providing an accurate delivery address. Contact us promptly if your order is lost, damaged in transit, or marked delivered but cannot be located so we can investigate and help resolve the issue. These Terms do not transfer or waive responsibilities that applicable law places on us.

SECTION 6 – INTELLECTUAL PROPERTY AND CUSTOMER ARTWORK

Unless otherwise stated, website content, designs, text, graphics, logos, and other materials are owned by Alpha Merch or used with permission from their owners.

You may browse the website, share links, and use purchased physical products for their intended purposes. You may not copy or reproduce our artwork, create merchandise from it, or use our branding in a way that suggests an unauthorized relationship with us.

When you submit a logo, photograph, design, text, or other material for a custom order, you represent that you own it or have the permission needed for us to reproduce it for that order.

You retain ownership of your submitted materials. You grant Alpha Merch and the production providers involved in your order a limited license to use, adjust for production, reproduce, and transmit those materials as reasonably necessary to prepare proofs, fulfill the order, and provide related support.

This license does not authorize us to use your logo, artwork, or finished order in advertising or public portfolios without separate permission.

We may decline materials that appear unlawful, infringing, or otherwise unsuitable for production.

SECTION 7 – OPTIONAL TOOLS

The Services may include optional tools provided by third parties. Those tools may be subject to separate terms and privacy policies.

We do not control independently operated third-party tools and do not guarantee their availability or performance. Please review the relevant provider’s terms before using them.

Nothing in this section excludes responsibilities or rights that cannot lawfully be excluded.

SECTION 8 – THIRD-PARTY LINKS

Our website may contain links to third-party websites or resources. A link does not necessarily mean that we endorse the third party or its content.

Third-party websites operate under their own terms and privacy practices. We are not responsible for their independent content or transactions, except where applicable law provides otherwise.

SECTION 9 – RELATIONSHIP WITH SHOPIFY

Alpha Merch is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Alpha Merch. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Alpha Merch, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Alpha Merch.

SECTION 10 – PRIVACY POLICY

Our collection and use of personal information are described in our Privacy Policy: https://alphamerchco.com/policies/privacy-policy

Because Shopify hosts our store, Shopify also collects and processes information in connection with the Services. Shopify’s consumer privacy policy is available at: https://www.shopify.com/legal/privacy/app-users

Information may be processed by Shopify and other service providers in locations outside your state or country, as described in the applicable privacy policies.

SECTION 11 – REVIEWS AND FEEDBACK

If you submit a public review or other feedback intended for publication, you grant us a nonexclusive, worldwide, royalty-free license to display, reproduce, and format that submission in connection with operating and promoting our store.

We will not materially change the meaning of a review or present it in a misleading way. Any use remains subject to applicable law and your privacy rights.

You confirm that your submission is truthful, reflects your actual experience where relevant, and does not infringe another person’s rights. Disclose any compensation or incentive received for a review.

We may remove unlawful, fraudulent, abusive, irrelevant, or rights-infringing content. This section does not restrict honest reviews or lawful criticism.

Customer artwork supplied for production is governed by Section 6, not the promotional license in this section.

SECTION 12 – ERRORS, INACCURACIES, AND OMISSIONS

We may correct errors in descriptions, prices, availability, or other information.

If an error materially affects an order you have placed, we will contact you about the correction or cancellation. We will not charge an increased price without your agreement. If we cancel an affected order after payment, we will refund the amount paid for the canceled items.

SECTION 13 – PROHIBITED USES

You may use the Services only for lawful purposes.

You must not use the Services to commit fraud, infringe intellectual property rights, submit unlawful content, harass others, impersonate another person, transmit malware, collect personal information without authority, or interfere with the website’s operation or security.

You may not bypass access controls, conduct unauthorized security testing, or use automated tools in ways that overload the website or violate applicable restrictions.

We may restrict access when reasonably necessary to address misuse or protect the Services. Such restrictions do not remove rights relating to existing purchases that applicable law requires us to honor.

SECTION 14 – AUTOMATED AGENTS

If you use an automated or semi-automated agent to interact with the Services, you are responsible for ensuring that its actions are authorized and comply with these Terms.

Agents must identify themselves truthfully when asked and must not conceal their automated nature to defeat security measures, bypass access restrictions, or circumvent CAPTCHAs.

Agents making direct HTTP or HTTPS requests must identify the agent in the user-agent string using “Agent/[agent name]” where technically supported.

We may limit or block automated access where reasonably necessary for security, reliability, or compliance. Agents must respect those restrictions and stop accessing the Services when we require them to do so.

These provisions do not prohibit assistive technologies, ordinary browser features, or other access that applicable law protects.

SECTION 15 – TERMINATION

We may suspend or terminate access to the Services for violations of these Terms, suspected fraud, security risks, or other lawful reasons.

Termination does not eliminate payment obligations already incurred, our obligations concerning accepted orders, or rights and remedies that survive under applicable law.

Provisions concerning intellectual property, privacy, liability, disputes, and other matters that by their nature should continue will survive termination to the extent applicable.

SECTION 16 – INFORMATION AND WARRANTIES

Educational and informational products, including reference posters, are intended as supplemental resources. They are not a substitute for required training, professional advice, current regulations, or emergency instructions.

Except for express commitments made in product descriptions, accepted quotes, or other written agreements, we do not guarantee that the website will always be available, uninterrupted, or error-free.

To the extent permitted by law, the website and optional online features are provided “as is” and “as available.”

Nothing in these Terms excludes an express warranty, an implied warranty that cannot lawfully be excluded, or any mandatory right relating to defective, unsafe, or misdescribed products.

SECTION 17 – LIMITATION OF LIABILITY

To the extent permitted by applicable law, Alpha Merch will not be liable for indirect, incidental, special, or consequential losses arising from use of the Services.

This limitation does not exclude or restrict liability for fraud, willful misconduct, gross negligence where such liability cannot be limited, personal injury where limitation is prohibited, or any other liability that applicable law does not allow us to exclude or restrict.

Nothing in these Terms limits any refund, replacement, warranty, or other remedy required by applicable law.

SECTION 18 – RESPONSIBILITY FOR THIRD-PARTY CLAIMS

To the extent permitted by applicable law, you agree to be responsible for reasonable losses and costs resulting from a third-party claim caused by your unlawful use of the Services, your knowing violation of these Terms, or customer artwork you submit without the required rights or permissions.

This does not make you responsible for claims caused by our own negligence, misconduct, or breach of these Terms.

We will provide reasonable notice of any claim for which we seek reimbursement and will not agree to a settlement imposing obligations on you without your consent.

SECTION 19 – SEVERABILITY

If a provision of these Terms is found unenforceable, it will be limited or removed only to the extent necessary. The remaining provisions will continue to apply.

SECTION 20 – ENTIRE AGREEMENT AND WAIVER

These Terms, our referenced policies, and any written terms specifically agreed for your order form the agreement governing your use of the Services and that purchase.

A specific written agreement for an order takes priority over conflicting general terms for that order.

Our failure to enforce a provision on one occasion does not waive our right to enforce it later.

SECTION 21 – ASSIGNMENT

You may not transfer your contractual obligations under these Terms without our consent.

We may transfer our rights and obligations in connection with a merger, business reorganization, or sale of the business, provided the transfer does not reduce any mandatory rights you have under applicable law.

SECTION 22 – GOVERNING LAW

These Terms are governed by the laws of the State of Minnesota and applicable federal law, without regard to conflict-of-law rules.

Where legally permitted, disputes will be heard in the state or federal courts in Minnesota with jurisdiction over the dispute. Nothing in this section deprives consumers of mandatory protections or access to courts provided by applicable law.

SECTION 23 – HEADINGS

Section headings are provided for convenience and do not change the meaning of these Terms.

SECTION 24 – CHANGES TO THESE TERMS

We may update these Terms by publishing a revised version on this page. Material changes will be communicated when required by law.

Updated Terms apply prospectively. They will not retroactively change an accepted order unless you agree or applicable law permits or requires the change.
